These Terms and Conditions govern your access to and use of this website, including any product information, enquiry forms, registration forms, order pathways, documents, media, technical materials and other content made available by Farmbright Pty Ltd.

By using this website, submitting an enquiry, registering interest, downloading materials or placing an order, you agree to these Terms and Conditions.

1. About Farmbright

Farmbright Pty Ltd is an Australian agricultural biotechnology company based in Victoria, Australia.

Farmbright develops biological crop-performance technologies for broadacre agriculture, including Verdara® and Sylvara®.

In these Terms:

  • Farmbright, we, us or our means Farmbright Pty Ltd.
  • You, your, customer, buyer, grower or user means the person, farm, company, grower group, distributor, reseller, agribusiness or other entity accessing the website, submitting information to Farmbright or engaging with Farmbright.

2. Website information

The information on this website is provided for general commercial, technical and product awareness purposes only.

While Farmbright aims to keep information accurate and up to date, the website may contain general descriptions, forward-looking statements, indicative scenarios, draft specifications, product-development updates and commercial information that may change over time.

Farmbright may update, modify, remove or replace website content at any time without notice.

3. Products

Farmbright's current and in-development products include:

  • Verdara® — a proprietary biological foliar powder powered by Verdaris Formulation Technology, designed to support broadacre wheat performance across key growth windows.
  • Sylvara® — Farmbright's in-development biological nitrogen establishment technology, designed to support reduced synthetic urea dependence in broadacre agriculture.

Any reference to a product on this website does not guarantee availability, suitability, performance, regulatory status, supply timing or commercial terms.

4. Verdara® product information

Verdara® is supplied as a proprietary biological foliar powder for agricultural use.

Unless otherwise stated in writing by Farmbright, Verdara® is intended to be prepared and applied in accordance with Farmbright's product label, application guide, order documentation and written instructions.

The current Verdara® application model is based on a three-application seasonal program for broadacre wheat:

  • Tillering — GS25–30
  • Booting — GS40–47
  • Heading / grain fill — GS55–65

The standard seasonal rate is generally described as 3 kg per hectare per season, applied as 1 kg per hectare per application, unless Farmbright provides different written instructions.

5. Product performance and yield information

Any yield uplift, return on investment, gross revenue, net gain, crop response, input-saving, nitrogen-reduction or performance scenario shown on this website is an estimate only.

Verdara® may be described as targeting 15–25% yield uplift on broadacre wheat when applied according to the full Farmbright program. This is a target and not a guarantee.

Actual results may vary depending on factors outside Farmbright's control, including but not limited to:

  • crop variety
  • soil type
  • paddock history
  • seasonal conditions
  • rainfall
  • temperature
  • heat stress
  • frost
  • drought
  • disease pressure
  • pest pressure
  • nutrient status
  • water quality
  • spray timing
  • equipment calibration
  • tank-mix compatibility
  • crop management
  • application accuracy
  • grower practice
  • harvest conditions

Nothing on this website constitutes a warranty, guarantee or representation that a specific agronomic, yield, financial or commercial result will be achieved.

6. No agronomic, financial or legal advice

Information provided by Farmbright is general product information only.

It is not a substitute for professional agronomic, financial, legal, environmental, regulatory or farm-management advice.

Before purchasing or applying any Farmbright product, you should consider your own farming system and seek advice from a qualified agronomist or professional adviser where appropriate.

7. Orders and enquiries

Submitting an enquiry, order form, registration form or expression of interest through this website does not automatically create a binding order or supply obligation.

A product order is only confirmed when Farmbright accepts the order in writing, issues an order confirmation, receives payment where required, or otherwise confirms acceptance.

Farmbright may decline, delay, limit, vary or cancel an order where:

  • product is unavailable
  • production capacity is limited
  • delivery is unavailable or impractical
  • the order is incomplete or inaccurate
  • the intended use is unsuitable
  • payment has not been received
  • the buyer has breached these Terms
  • Farmbright reasonably identifies legal, regulatory, safety, reputational or commercial risk

8. Pricing

Prices shown on this website are in Australian dollars unless otherwise stated.

Pricing may be shown by hectare, kilogram, pack, bag, drum, FIBC, pallet, tonne or total order value.

Prices are subject to change without notice. The applicable price for a confirmed order will be the price stated in Farmbright's quotation, invoice, order confirmation or written agreement.

Unless otherwise stated, prices exclude GST, freight, insurance, handling, storage, duties, taxes, levies and other applicable charges.

9. GST and taxes

GST will be applied where required under Australian law.

You are responsible for any taxes, duties, import costs, levies, charges or compliance costs applicable to your purchase, delivery location or use of Farmbright products, except where Farmbright expressly agrees otherwise in writing.

10. Payment

Payment terms will be stated in Farmbright's invoice, quotation, order confirmation or written agreement.

Unless Farmbright has approved credit terms in writing, payment may be required before dispatch.

If payment is overdue, Farmbright may:

  • suspend delivery
  • cancel unfulfilled orders
  • withhold further supply
  • charge reasonable recovery costs
  • charge interest where permitted by law
  • require upfront payment for future orders

11. Delivery and risk

Farmbright will use reasonable commercial efforts to dispatch products within the timeframe stated in an order confirmation.

Delivery dates are estimates only unless Farmbright expressly agrees to a guaranteed delivery date in writing.

Risk in the product passes to the buyer when the product is delivered to the buyer, the buyer's nominated carrier, the buyer's nominated site, or another point specified in the order confirmation.

Title to the product remains with Farmbright until all amounts owing for that product have been paid in full.

12. Storage and handling

You are responsible for storing and handling Farmbright products in accordance with the product label, application guide and any written instructions provided by Farmbright.

Unless otherwise directed in writing, Verdara® should be stored:

  • sealed
  • dry
  • away from direct sunlight
  • away from moisture
  • away from contamination
  • away from incompatible materials
  • below 25°C where practicable

Farmbright is not responsible for product degradation, reduced performance, contamination, clumping or application issues caused by incorrect storage, moisture exposure, mishandling, repackaging, modification or use outside Farmbright's instructions.

13. Product application

You are responsible for ensuring that:

  • the product is suitable for your intended crop and farming system
  • you follow Farmbright's written application instructions
  • spray equipment is clean, calibrated and suitable
  • water quality is appropriate
  • product is steeped, filtered, diluted and applied correctly
  • application is conducted at appropriate growth stages
  • application is conducted under suitable weather conditions
  • applicable safety, environmental and regulatory requirements are followed

Where products are tank mixed with other agricultural inputs, you are responsible for checking compatibility and seeking agronomic advice before use.

Farmbright does not warrant compatibility with all third-party fertilisers, pesticides, fungicides, herbicides, insecticides, adjuvants or biological products.

14. Returns, shortages and defects

You must inspect products promptly on delivery.

Any shortage, damage, contamination or apparent defect must be notified to Farmbright in writing within 5 business days of delivery, with supporting photographs, batch details and delivery information where available.

Farmbright may require the product to be returned, retained, sampled or inspected before assessing a claim.

Where a product is confirmed by Farmbright to be defective, Farmbright may, at its discretion and subject to applicable law:

  • replace the affected product
  • refund the purchase price of the affected product
  • provide equivalent product
  • provide another remedy required by law

Nothing in these Terms excludes, restricts or modifies any rights or guarantees that cannot be excluded under the Australian Consumer Law or other applicable law.

15. Australian Consumer Law

These Terms are subject to the Australian Consumer Law and any other rights that cannot be excluded by law.

To the extent permitted by law, Farmbright's liability for a failure to comply with a consumer guarantee is limited, at Farmbright's option, to the replacement of goods, supply of equivalent goods, repair of goods, payment of the cost of replacing goods, or payment of the cost of having goods repaired.

16. Limitation of liability

To the maximum extent permitted by law, Farmbright is not liable for:

  • crop loss
  • yield loss
  • loss of profit
  • loss of revenue
  • loss of market opportunity
  • loss of business
  • loss of goodwill
  • loss of data
  • indirect loss
  • consequential loss
  • special loss
  • economic loss
  • loss arising from seasonal, climatic, agronomic or management conditions outside Farmbright's control

To the maximum extent permitted by law, Farmbright's total aggregate liability arising from or in connection with this website, a product, an order or these Terms is limited to the amount paid by the buyer for the affected product.

17. Intellectual property

All intellectual property on this website and in Farmbright materials is owned by or licensed to Farmbright.

This includes, without limitation:

You may view and download website materials for your own internal assessment or legitimate product-use purposes only.

You must not copy, reproduce, modify, adapt, publish, distribute, sell, license, reverse engineer, deconstruct, replicate, commercially exploit or create derivative works from any Farmbright intellectual property without Farmbright's prior written consent.

18. Trade marks

Farmbright, Verdara®, Verdaris, Sylvara®, Sylvaris and Sylvaris Cascade are trade marks, pending trade marks, registered trade marks, proprietary technology names or commercial identifiers of Farmbright Pty Ltd.

Nothing on this website grants you any licence or right to use Farmbright's trade marks without written permission.

19. Confidentiality and non-disclosure

Some information provided by Farmbright may be confidential, including:

  • quotations
  • pricing schedules
  • technical documents
  • unpublished data
  • field trial information
  • product specifications
  • formulation information
  • botanical source information
  • manufacturing process information
  • application protocols
  • commercial terms
  • supply arrangements
  • internal communications

You must keep Farmbright's confidential information confidential and must not disclose it to any third party without Farmbright's written consent, except to employees, contractors, agronomists or professional advisers who need to know for the purpose of evaluating or using Farmbright products and who are bound by confidentiality obligations.

20. No reverse engineering

You must not reverse engineer, analyse, test for the purpose of replication, copy, modify, reproduce, reformulate, dilute, blend, repack, relabel, manufacture, commercialise, resell, distribute or attempt to create any substitute or derivative product based on Verdara®, Sylvara® or any Farmbright product without Farmbright's prior written consent.

21. No unauthorised resale

Unless Farmbright has provided written approval, you must not resell, redistribute, repackage, relabel, export, broker, white-label or otherwise supply any Farmbright product to a third party.

Authorised distributor, reseller or agent arrangements must be governed by a separate written agreement with Farmbright.

22. Approved claims

You must not make public claims about Farmbright products beyond claims approved by Farmbright in writing.

You must not claim that Farmbright products:

  • guarantee yield uplift
  • guarantee profit
  • replace all fertiliser requirements
  • work on all crops in all conditions
  • are equivalent to raw plant powders or commodity inputs
  • contain or are based on any specific botanical source unless Farmbright has approved that claim in writing
  • are suitable for uses not approved by Farmbright

23. Product stewardship and data

Farmbright may request product-use and application information to support product stewardship, technical support, performance review and product development.

This may include:

  • crop type
  • hectares treated
  • region
  • application date
  • crop growth stage
  • water volume
  • tank-mix details
  • rainfall
  • yield results
  • photographs
  • grower observations

Where you provide such information, Farmbright may use de-identified and aggregated data for research, product development, performance modelling, marketing, investor reporting and commercial reporting.

Farmbright will not publicly identify you, your farm or your business without your consent, unless required by law.

24. Third-party links

This website may contain links to third-party websites or resources.

Farmbright does not control and is not responsible for third-party websites, content, products, services, policies or practices.

Accessing third-party links is at your own risk.

25. Website availability and security

Farmbright does not guarantee that this website will be uninterrupted, error-free, secure or free from viruses or harmful components.

You are responsible for using appropriate security measures, including virus protection, secure devices and secure internet access.

26. Force majeure

Farmbright is not liable for delay or failure to perform caused by events beyond its reasonable control, including:

  • storm

  • transport disruption
  • port delay
  • industrial action
  • labour shortage

27. Suspension or termination

Farmbright may suspend or terminate access to the website, decline supply or cancel orders if you:

  • breach these Terms
  • fail to pay amounts owing
  • misuse a product
  • misuse Farmbright intellectual property
  • breach confidentiality obligations
  • resell without approval
  • provide false or misleading information
  • engage in conduct that may damage Farmbright's legal, commercial or reputational interests

28. Changes to these Terms

Farmbright may update these Terms at any time.

The updated Terms will apply from the date they are published on this website.

You should review these Terms periodically.

29. Governing law

These Terms are governed by the laws of Victoria, Australia.

The parties submit to the non-exclusive jurisdiction of the courts of Victoria, Australia.
